This document is an electronic record within the meaning of the Information Technology Act, 2000, and the rules made thereunder. It is generated by a computer system and does not require any physical or digital signature. This document is published in accordance with Rule 3(1) of the Information Technology (Intermediaries Guidelines) Rules, 2011, which requires intermediaries to publish their rules, regulations, privacy policy, and user agreement.

1. Introduction and Acceptance

These Terms and Conditions ("Terms" or "EULA") constitute a legally binding agreement between you ("User", "you", or "your") and Eccetra Career Counseling Pvt. Ltd. ("Eccetra", "we", "our", or "us"), a company incorporated under the Companies Act, 2013 (CIN: U85500KL2023PTC084200), with its registered office at Door No. 6/671, Eden Plaza, 4/920, Opposite Bharat Matha College, Judgemukku, Thrikkakara, Kochi, Kerala – 682021, India.

By accessing, registering on, or using the website www.eccetra.com and its associated applications, tools, and services (collectively, the "Platform"), you confirm that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree, you must immediately discontinue all use of the Platform.

These Terms must be read in conjunction with our Privacy Policy and Disclaimer, both of which are incorporated herein by reference and form an integral part of this agreement.

2. Definitions

  • "Platform" means the website www.eccetra.com, all its sub-domains, associated mobile applications, and all services, content, and tools accessible through them.
  • "Services" means career counseling, career assessment, psychometric evaluations, AI-assisted career guidance, mentoring sessions, and all other services offered by Eccetra through the Platform from time to time.
  • "User" means any individual or entity accessing or using the Platform, including Adult Users and Minor Users.
  • "Adult User" means a User who is 18 years of age or older.
  • "Minor User" means a User below the age of 18 years.
  • "Parent/Guardian" means the parent, legal guardian, or adult legally responsible for a Minor User, who registers on the Platform and provides consent on behalf of the Minor User.
  • "Content" means all text, data, graphics, images, reports, assessments, recommendations, and other materials made available through the Platform.
  • "Registered User" means a User who has completed the registration process on the Platform.

3. Nature of this Document

This document is an electronic record as defined under the Information Technology Act, 2000. It is valid and enforceable without any physical or digital signature. By clicking 'I Agree', completing registration, or otherwise using the Platform, you are deemed to have electronically executed this agreement and consented to all its terms.

These Terms may be updated or amended by Eccetra from time to time at its sole discretion. The revised Terms will be effective upon posting on the Platform. We will endeavor to notify Registered Users of material changes via their registered email address. Your continued use of the Platform after the revised Terms are posted shall constitute your acceptance of the changes.

4. Eligibility

4.1 Adult Users

To register or use the Services, an Adult User must be at least 18 years of age and legally capable of entering into a binding contract under the Indian Contract Act, 1872.

4.2 Minor Users (Age 10 to 17)

The Platform is accessible to Minor Users aged 10 years and above exclusively under the following conditions:

  • Registration must be completed by the Minor User's parent or legal guardian using the guardian's own personal details.
  • The guardian must read and expressly accept these Terms and the Privacy Policy on behalf of the Minor User before any access is granted.
  • The guardian is solely responsible for supervising the Minor User's use of the Platform.
  • Eccetra does not collect the Minor User's personal email address or personal phone number; all communication is directed to the guardian.

Important Notice to Parents and Guardians

By registering a Minor User, you accept full legal responsibility for their use of the Platform. You must provide your own (not the child's) contact details. You must not provide the child's personal email, phone number, or government ID. Access granted without genuine parental consent is a violation of these Terms and may result in immediate account suspension.

4.3 Prohibition on Minors Below Age 10

Eccetra does not knowingly permit access to the Platform by any individual below the age of 10 years. Any account found to have been created for or by a child under 10 will be immediately terminated and all associated data deleted.

5. Registration Obligations

To access most Services, you are required to register on the Platform. By registering, you agree to:

  • Provide accurate, complete, and current information as prompted by the registration form, and to maintain and update such information to keep it accurate at all times.
  • Maintain the confidentiality of your username, password, and account credentials, and accept full responsibility for all activities that occur under your account.
  • Notify Eccetra immediately at info@eccetra.com upon becoming aware of any unauthorized use of your account or any breach of security.
  • Ensure you log out of your account at the end of every session, particularly when accessing the Platform from a shared or public device.
  • Not register on behalf of another person without their explicit consent, except in the case of a guardian registering on behalf of a Minor User.

6. Description of Services

Eccetra provides a technology-enabled career counseling and development platform. The Services include but are not limited to:

  • Psychometric and aptitude assessments for career suitability
  • AI-assisted career analysis using third-party APIs and proprietary in-house AI modules
  • One-on-one and group career counseling sessions with qualified counselors
  • Career pathway mapping and academic guidance
  • Mentoring and career tracking features
  • Resource materials, reports, and content relevant to career planning

All Services are provided as guidance tools only. Eccetra does not guarantee any specific career outcome, admission result, or academic performance as a result of using the Services.

Eccetra reserves the right to modify, suspend, or discontinue any Service or feature at any time with or without notice.

7. Fees, Payment, and Taxes

7.1 Fee Structure

Certain Services on the Platform are offered on a paid basis. The applicable fees will be clearly communicated at the time of purchase. By proceeding with payment, you agree to pay the stated fees.

7.2 Payment Processing

All payments on the Platform are processed through Razorpay Software Pvt. Ltd., a PCI-DSS compliant payment gateway. Eccetra does not collect, store, or process payment card details, bank account numbers, CVV codes, or UPI PINs. By proceeding with payment, you also agree to Razorpay's terms of service and privacy policy available at razorpay.com. Eccetra is not responsible for payment failures, delays, or errors attributable to Razorpay or your banking institution.

7.3 Taxes

All fees are exclusive of applicable taxes (including GST) unless explicitly stated otherwise. You are responsible for all taxes, levies, and government charges applicable to your use of the Services.

7.4 Refund Policy

Given the nature of career counseling Services, which are rendered and consumed at the time of delivery (including assessments, reports, and counseling sessions), fees paid for completed Services are generally non-refundable. The following exceptions apply:

  • Where a Service is not delivered due to a fault attributable to Eccetra, you may raise a grievance at info@eccetra.com, and Eccetra will evaluate the request in good faith and, where appropriate, issue a credit or refund within 14 working days of resolution.
  • Where a technical failure of the Platform prevents delivery of a paid Service, Eccetra will, at its discretion, reschedule the Service or issue a credit.
  • Institutional and B2B contracts may be subject to separate refund terms as agreed in writing.

By proceeding with any payment, you acknowledge and accept this Refund Policy. The full Refund & Cancellation Policy is also available on a dedicated page on the Platform.

7.5 No Cancellation Policy

Once payment for a Service has been successfully completed, the transaction is final and cannot be cancelled by the User. This includes:

  • Booked counseling or mentoring sessions, regardless of whether the User attends the scheduled session
  • Purchased assessments, whether or not the User completes them
  • Reports and AI-generated analyses, once generated

Users are advised to carefully review their selection and confirm all details before completing payment.

8. Electronic Communications

By registering on and using the Platform, you consent to receive communications from Eccetra electronically — including via email, SMS, in-app notifications, and notices posted on the Platform. You agree that all such electronic communications satisfy any legal requirement that communications be in writing. For Minor User accounts, all communications are sent exclusively to the registered parent or guardian.

9. Intellectual Property

9.1 Eccetra's Ownership

All intellectual property rights in and to the Platform, the Services, the Content (including assessment tools, reports, AI outputs, algorithms, and platform design), and all underlying technology are owned exclusively by Eccetra or its licensors. Nothing in these Terms transfers any intellectual property rights to you.

9.2 Limited License to Users

Subject to your compliance with these Terms, Eccetra grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for your personal, non-commercial career counseling purposes. This license does not include the right to:

  • Copy, reproduce, distribute, publicly display, or create derivative works from any Content or platform element
  • Reverse-engineer, decompile, or attempt to extract source code from the Platform
  • Sublicense, sell, resell, or commercially exploit any portion of the Platform or Services
  • Use any automated tools (bots, scrapers, crawlers) to extract data from the Platform
  • Frame or mirror the Platform on any other website or digital environment

9.3 User-Generated Content

Where you submit content to the Platform (including assessment responses, feedback, or messages), you grant Eccetra a non-exclusive, worldwide, royalty-free license to use such content solely for the purpose of providing and improving the Services. You warrant that any content you submit does not infringe the rights of any third party.

10. Prohibited Conduct

You agree that you shall not, directly or indirectly:

  • Use the Platform for any unlawful, fraudulent, or abusive purpose
  • Misrepresent your identity, age, or relationship to a Minor User
  • Submit false, misleading, or inaccurate information during registration or in the course of using the Services
  • Upload, transmit, or share content that is defamatory, obscene, pornographic, harassing, threatening, or harmful to minors
  • Infringe any patent, trademark, copyright, trade secret, or other intellectual property or proprietary rights of Eccetra or any third party
  • Attempt to gain unauthorized access to any portion of the Platform, its servers, or its databases
  • Introduce malware, viruses, worms, or any other harmful code to the Platform
  • Interfere with or disrupt the integrity or performance of the Platform or its infrastructure
  • Use the Platform in any manner that could damage the reputation of Eccetra or its services
  • Communicate directly with Eccetra's counselors or mentors outside the Platform for purposes related to the Services, except as expressly permitted
  • Solicit, harass, or exploit Eccetra's counselors, mentors, or other users

Violations of these prohibitions may result in immediate account suspension or termination, forfeiture of fees paid, and legal proceedings including referral to law enforcement authorities.

11. Counselor and Mentor Conduct

Eccetra facilitates access to career counselors and mentors through the Platform. All such professionals are engaged to provide guidance within the scope of the Services selected by the user. Eccetra is not responsible for any communication, advice, or conduct of a counselor or mentor beyond the scope of the Services booked. Users must not solicit or engage in any professional relationship or financial transaction with Eccetra's counselors or mentors outside the Platform.

12. AI-Assisted Services

Certain features of the Platform use artificial intelligence tools, including third-party APIs and proprietary in-house AI modules, to assist with assessment analysis and career recommendations. You acknowledge that:

  • AI-generated outputs are tools for guidance and are not a substitute for professional career advice
  • AI outputs are subject to periodic quality review and monitoring by Eccetra; individual outputs are not manually reviewed prior to delivery and should not be treated as standalone professional recommendations
  • Eccetra does not use Minor User data to train or fine-tune any AI model
  • You may request that your data not be processed through third-party AI APIs by contacting info@eccetra.com

13. Third-Party Content and Links

The Platform may display or link to third-party websites, content, advertisements, or services. Eccetra does not endorse, control, or assume responsibility for any third-party content or the privacy practices of any third-party service. Users interact with third-party services at their own risk and should review the applicable third-party terms and privacy policies.

14. Indemnification

You agree to indemnify, defend, and hold harmless Eccetra, its directors, officers, employees, agents, affiliates, and licensors from and against any claims, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to:

  • Your breach of these Terms or any applicable law or regulation
  • Your misuse of the Platform or the Services
  • Your infringement of any intellectual property or other rights of any third party
  • Any false or misleading information provided by you during registration or use of the Platform

15. Limitation of Liability

To the fullest extent permitted by applicable law, Eccetra's total aggregate liability to you for any claims arising out of or in connection with these Terms, the Platform, or the Services shall not exceed the total amount paid by you to Eccetra in the three (3) months immediately preceding the event giving rise to the claim.

In no event shall Eccetra be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of opportunity, loss of data, or loss of goodwill, arising out of or in connection with your use of the Platform or Services, even if Eccetra has been advised of the possibility of such damages.

These limitations apply regardless of the form of action and whether Eccetra was negligent or otherwise at fault.

16. Suspension and Termination

Eccetra reserves the right to suspend or terminate your account, with or without notice, in the following circumstances:

  • Breach of any provision of these Terms
  • Providing false or misleading information
  • Actions that may cause legal liability to Eccetra or other Users
  • Non-payment of applicable fees
  • At Eccetra's sole discretion for any operational, legal, or regulatory reason

Upon termination, your right to access the Platform ceases immediately. Provisions of these Terms that by their nature should survive termination shall continue to apply.

17. Grievance Redressal

In accordance with the Information Technology Act, 2000 and the DPDP Act, 2023, any User aggrieved by content on or services provided through the Platform may submit a complaint to our Grievance Officer:

18. Governing Law, Dispute Resolution, and Jurisdiction

18.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of India, including the Information Technology Act, 2000, the DPDP Act, 2023, and the Indian Contract Act, 1872.

18.2 Dispute Resolution

In the event of any dispute arising out of or in connection with these Terms, the parties shall first attempt to resolve the dispute through good faith negotiation within 30 days of written notice. If the dispute is not resolved within this period, it shall be referred to a sole arbitrator appointed by mutual agreement of the parties, or in the absence of agreement, by the Indian Council of Arbitration. The arbitration shall be conducted in Kochi, Kerala, India, in the English language, under the Arbitration and Conciliation Act, 1996, as amended.

18.3 Jurisdiction

Subject to the arbitration clause above, the courts of Kochi, Kerala, India shall have exclusive jurisdiction over any disputes arising under or in connection with these Terms. For users based in the European Union or United Kingdom, mandatory consumer protection rights applicable under local law are not affected by this jurisdiction clause.

19. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable under applicable law, such provision shall be severed, and the remaining provisions shall continue in full force and effect.

20. Assignment

You may not assign or transfer any of your rights or obligations under these Terms without the prior written consent of Eccetra. Eccetra may assign its rights and obligations under these Terms to a successor entity in connection with a merger, acquisition, or sale of assets, provided the successor entity agrees to be bound by these Terms.

21. Entire Agreement

These Terms, together with the Privacy Policy and Disclaimer, constitute the entire agreement between you and Eccetra with respect to your use of the Platform and supersede all prior agreements, representations, and understandings. In the event of any conflict between these Terms and the Privacy Policy, these Terms shall prevail except with respect to matters of data protection and privacy, where the Privacy Policy shall prevail.
